  Brad points out that the IRS adoption of its new rule 409a governing the pricing of stock options requires that options be valued by a professional, not just priced by the issuer's board of directors--as has been the practice in the past.As a result, he notes, option prices are not meaningfully different--in fact they are lower in some cases--the problem is that the new process imposes an unnecessary new burden on start-up companies.
